TLM vs CLM: Which Approach Really Runs Your Legal Department?

    April 17, 20267 min read

Two acronyms that don't address the same problem

When looking for a tool to structure a legal department, you quickly run into two families: CLM (Contract Lifecycle Management) and TLM (Ticket Legal Management). Many legal professionals think they have to choose between the two. In reality, they don't answer the same question.

    • CLM answers: "how do we manage a contract's lifecycle, from drafting to archiving?"
    • TLM answers: "how do we manage all the requests coming into a legal department — contracts, but also GDPR questions, litigation, compliance, advice?"

    CLM: powerful, but contract-centric

A CLM is the tool you want if 80% of your activity revolves around contracting: NDAs, supplier contracts, customer contracts, amendments. It gives you an editor, a clause library, approval workflows, electronic signature, and a contract repository.

Its limitation: anything that isn't a contract falls through the cracks. The GDPR question asked by a salesperson, the ongoing litigation tracked by your colleague, the compliance memo requested by management… it all stays in your inbox.

TLM: an overview of the entire legal department

TLM starts from a different observation: the raw material of a legal department isn't the contract, it's the request. Every request becomes a ticket — whether it's a contract to review, a legal question, a dispute to track, or a memo to draft.

Inside the ticket, you find everything you need: a document editor, electronic signature, document management, a workflow system. If the request results in a contract, you draft it and get it signed within the ticket. If it results in an advisory memo, you draft it and archive it. TLM doesn't pit the contract against everything else — it unifies them.

Do you have to choose one or the other?

If your activity is 90% contractual, a CLM may be enough. If you also handle compliance, litigation, GDPR, internal advice — in short, if you're a true general-purpose legal department — TLM provides the coverage you need. The good news is that TLM natively includes CLM capabilities (drafting, clause library, signature, contract repository). So you don't have to choose.
