The "we already have SharePoint" myth
This is the sentence you hear in 9 out of 10 legal departments when you bring up document management: "we already have SharePoint, or Google Drive, or a company Dropbox — no need for another tool." That's true for storing files. It stops being true the moment you need to find, link, or secure them.
The simple test: how long does it take you today to find the NDA signed with a supplier back in 2022, whose exact name you no longer remember? If the answer is "more than 5 minutes", you need a real legal DMS.
What a legal DMS does that a shared folder doesn't
1. Full-text search with OCR
You type a word — a clause, a party's name, a date — and the DMS searches the content of all your documents, including scanned PDFs. On a standard SharePoint, search stops at the file name. With a legal DMS, you find a contract because it contains the word "non-compete".
2. Linking to matters and tickets
A document never exists on its own. It belongs to a matter (a dispute, a framework agreement, an M&A deal) and to certain parties. In a shared folder, you end up with "contract_v1.docx", "contract_v2_final.docx", "contract_v2_finalFINAL.docx" and nobody knows which one is the authoritative version. A legal DMS versions documents automatically and keeps a record of who changed what, and when.
4. Security and GDPR traceability
Who viewed this contract? Who downloaded it? When? A legal DMS logs everything. This is essential for GDPR compliance, but also for sensitive contracts (M&A, litigation). On a standard Drive, these logs simply don't exist — or are unusable.
5. Business-specific structure

DMS, contract repository, CLM: is it all the same thing?
Not quite. A contract repository is a DMS specialized for contracts: it adds specific metadata (parties, dates, amounts, deadlines) and renewal alerts. A CLM manages the entire contract lifecycle (drafting, negotiation, signature) and feeds the repository downstream. A legal DMS, on the other hand, covers all documents: contracts, but also pleadings, memos, correspondence, and case law.
